1. Scope

These Terms & Conditions (“Terms”) apply to (a) your use of the website operated by Neo Engenior Ltd. (“Neo Engenior”, “we”, “us”), and (b) business-to-business offers, quotations, order confirmations and contracts for engineering services, machinery, equipment, spare parts and related supplies where these Terms are referenced, unless a separate written agreement prevails.

Our services and website are directed at business customers. We do not enter into contracts with consumers under these Terms. Customer terms that conflict with these Terms apply only if we expressly accept them in writing.

2. Company

Neo Engenior Ltd. is a private limited liability company registered in Malta (registration number C 114000), with registered office at INTERNATIONAL HOUSE, Triq l-Imdina, Birkirkara BKR 3000, Malta. Further particulars are set out in our Legal Notice.

3. Website use

Content on this website is provided for general information about our engineering activities. It does not constitute a binding offer, professional advice or a guarantee of fitness for a particular project. You may use the website only lawfully and must not attempt to disrupt, scrape abusively, or misuse the site or our systems.

All trademarks, texts, images, graphics and other materials on the website remain our property or that of our licensors. You may not copy, modify or distribute site content without our prior written consent, except for ordinary browsing and personal/reference use as permitted by law.

4. Offers and contract formation

Quotations and offers are non-binding and subject to change unless expressly stated as firm for a defined period. A binding contract is formed only upon our written order confirmation, a signed agreement, or our commencement of performance after clear acceptance of your order.

Descriptions, drawings, weights, dimensions and other technical data are approximate unless expressly guaranteed in writing. We may make technical improvements or adjustments that do not materially reduce agreed performance.

5. Prices and payment

Prices are stated in euro (EUR) unless otherwise agreed, exclusive of VAT and other applicable taxes, duties and levies. Delivery terms default to Ex Works (EXW, Incoterms® as current at contract date) at the place we designate, unless otherwise agreed in writing.

Invoices are payable within 30 days of the invoice date without deduction, unless otherwise agreed in writing. Late payment may attract interest and recovery costs as permitted by applicable Maltese and EU late-payment rules for commercial transactions.

6. Delivery and transfer of risk

Delivery or performance dates are estimates unless we expressly agree a fixed date in writing. Partial deliveries or partial performance are permitted where reasonable. Risk passes in accordance with the agreed Incoterm; under EXW, risk passes when the goods are made available to the carrier/customer at the named place.

7. Warranty

Unless a longer period is agreed in writing for a specific project, the warranty period for defects in goods we supply is 12 months from delivery. Notice of defects must be given in writing without undue delay after discovery; obvious defects must be notified within eight (8) days of receipt.

Our primary remedy is repair or replacement (at our option) of defective goods or re-performance of defective services. Warranty does not cover wear parts, misuse, improper installation or maintenance by third parties, unauthorised modifications, or normal wear and tear.

8. Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be limited under applicable law.

Subject to the foregoing, we are not liable for indirect or consequential loss (including loss of profit, production, business or data), and our aggregate liability arising out of or in connection with a contract is limited to the net price paid or payable under that contract for the goods or services giving rise to the claim, except in cases of wilful misconduct or where mandatory law provides otherwise.

9. Retention of title

Goods remain our property until we have received full payment of all amounts due in respect of those goods (and related claims arising from the business relationship, where permitted). Until title passes, the customer shall store the goods appropriately, insure them adequately, and not pledge or assign them as security without our consent.

10. Confidentiality and intellectual property

Drawings, designs, calculations, software, know-how and other documents we provide remain our intellectual property. The customer may use them only for the agreed project and must not disclose them to third parties without our prior written consent, except where required by law.

11. Force majeure

We are not liable for delay or failure caused by circumstances beyond our reasonable control, including but not limited to natural events, war, terrorism, epidemic, labour disputes, supply-chain disruption, transport failure, energy shortages, or acts of authorities. Dates are extended for the duration of the hindrance.

12. Privacy

Personal data are processed as described in our Privacy Policy.

13. Governing law and jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of Malta, excluding conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The courts of Malta have exclusive jurisdiction over disputes arising out of or in connection with these Terms or related contracts, without prejudice to any mandatory rights that cannot be waived by agreement.

14. Changes and severability

We may update website-related parts of these Terms by posting a revised version on this page. Contractual relationships already concluded remain governed by the Terms in force at formation, unless otherwise agreed. If any provision is invalid or unenforceable, the remaining provisions continue in full force.
